Terms and Conditions

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

Our Intellectual Property

All content, source code, software, designs, trademarks, and other materials available through Movyo are the property of Nair Development Hub SRL or our licensors. These materials are protected by international copyright, trademark, and other intellectual property laws.

You may use the Services and view or download materials only for your personal, non-commercial, or internal business use. You may not copy, redistribute, sell, or otherwise exploit our platform or its contents without written permission from us.

Your Use of the Services

We grant you a limited, non-exclusive, revocable license to access and use the Services for lawful purposes and in accordance with these Terms. This license does not grant ownership of the Services or any underlying technology.

Your Submissions and Feedback

If you share suggestions, feedback, or ideas with us (for example, through contact messages or feature requests), you agree that we may use that feedback to improve Movyo without any obligation to compensate you. However, we will not claim ownership of your original ideas or creative materials.

Respecting Rights

We respect the intellectual property rights of others and expect our users to do the same. If you believe your content has been used or generated in a way that infringes your rights, please contact us as described in the “Copyright Infringements” section below.

By using the Services, you represent and warrant that:

• all registration information you submit will be true, accurate, current, and complete;
• you will maintain the accuracy of such information and promptly update such registration information as necessary;
• you have the legal capacity and you agree to comply with these Legal Terms;
• you are not a minor in the jurisdiction in which you reside;
• you will not access the Services through automated or non-human means, whether through a bot, script or otherwise;
• you will not use the Services for any illegal or unauthorized purpose; and
• your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

Movyo operates on a credit-based system. Users can purchase credits to generate videos and use other features available on the platform.

All payments are securely processed by our third-party payment provider, Stripe. We do not collect or store your complete payment information (such as credit card numbers). Stripe handles all payment authentication and processing in accordance with its own Privacy Policy.

We accept major credit and debit cards contacted by Stripe (including Visa, Mastercard, and American Express). Other payment methods may be available depending on your region. All transactions are charged in Euros (EUR), and your bank or card provider may apply currency conversion fees if you pay in another currency.

You agree to provide current, complete, and accurate information during the checkout process. All payments are final once credits are added to your account, except where a refund is required by law. Credits are non-transferable and non-refundable once used.

Movyo Labs reserves the right to adjust prices or credit values at any time. If we detect potentially fraudulent or unauthorized transactions, we may suspend or cancel the order and, if necessary, terminate the associated account.

Movyo operates on a credit-based system. Credits are added to your account after successful payment through Stripe and may be used to access video generation and other paid features within the platform.

All credit purchases are final once payment is completed. Credits are non-refundable and non-transferable except as required by applicable law.

We understand that mistakes or technical issues can occur. If you believe you were charged in error or have not used any credits since your most recent purchase, you may contact us atcontact@movyolabs.comwithin 7 days of the transaction. Refund requests will be reviewed on a case-by-case basis at our sole discretion.

Credits used, partially consumed, or allocated to generation jobs cannot be refunded. Refunds, if granted, will only apply to the unused credits remaining from the most recent purchase. Movyo reserves the right to decline refund requests that do not meet these conditions.

Credits may expire 12 months after purchase unless otherwise stated.

Movyo allows users to upload or provide input materials (such as text prompts, images, or videos) for the purpose of generating new content through our AI systems and third-party services (including but not limited to OpenAI). These inputs and generated results are collectively referred to as “User Content.”

User uploads are private by default and are not visible to other users. We may process, transmit, and temporarily store this content solely to provide the Services. Movyo does not claim ownership over your input materials or the AI-generated outputs.

Ownership of Generated Content

Subject to your compliance with these Terms and any applicable third-party service terms (such as OpenAI’s policies), you retain ownership of the videos and other materials you generate using Movyo. Movyo and its partners retain ownership of the underlying software, algorithms, APIs, and intellectual property used to generate that content.

User Responsibilities

By uploading or providing content, you represent and warrant that:

• You own or have the necessary rights and permissions to upload and use the content.
• Your content does not infringe or violate any copyright, trademark, privacy, or other rights of third parties.
• Your content complies with all applicable laws and these Terms, including our content moderation policies.
• Your content is not illegal, abusive, harassing, violent, or otherwise inappropriate.

You agree not to upload or use the Services to generate content that includes or promotes:

• Sexual, violent, or hateful material;
• Depictions of real people or public figures;
• Copyrighted or trademarked properties (e.g., well-known fictional characters, logos);
• Material intended to defame or harm others; or
• Illegal or restricted content under applicable law.

Movyo reserves the right to reject, remove, or restrict access to any content that violates these Terms or applicable third-party provider policies (including OpenAI’s usage guidelines).

By using the Services, you grant Movyo a limited, non-exclusive, worldwide, and royalty-free license to process, store, and transmit your content solely as necessary to operate and improve the Services.

Movyo uses artificial intelligence and third-party APIs (including OpenAI and other providers) to generate videos and related media based on user input. The results are automatically produced and may contain inaccuracies, distortions, or content that does not match your expectations.

We make no guarantees regarding the quality, accuracy, legality, or suitability of any AI-generated content. You are solely responsible for how you use the generated material and for ensuring it complies with applicable laws and third-party rights (including copyright and publicity rights).

Movyo does not endorse, verify, or assume responsibility for any AI-generated content produced through the Services. You acknowledge that AI generation involves probabilistic processes and that results may vary between uses, models, or providers.

When you use Movyo, you may upload text, images, videos, or other content (“Input Content”) to generate AI-based results (“Generated Content”). Uploads are private by default and are used only to process your generation requests.

You retain full ownership of both your Input Content and your Generated Content, provided that such materials comply with these Terms and applicable laws. Movyo Labs does not claim ownership of the results you create.

To operate the platform and provide the Services, you grant Movyo a limited, non-exclusive, worldwide, and royalty-free license to process, host, and temporarily store your Input and Generated Content. This license exists only as long as necessary to operate, maintain, and improve the Services.

We do not use your private content to train our AI models unless you explicitly opt in.

User Responsibilities

You represent that:

• You own or have the necessary rights to upload and use your Input Content.
• Your content does not infringe on third-party rights or violate applicable law.
• You will not use Movyo to generate content that is illegal, harmful, or violates our content guidelines (e.g., sexual, hateful, or violent material).

Movyo may remove or block content that violates these Terms or third-party API usage policies. Repeated violations may result in suspension or account termination.

AI Output Ownership

You own the rights to your Generated Content. Movyo Labs retains ownership of the underlying technology, algorithms, and software used to produce those results. You are responsible for how you use your Generated Content and for ensuring it complies with applicable laws and third-party rights.

You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Services, you agree not to:

• Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
• Circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Services and/or the Content contained therein.
• Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Services.
• Use any information obtained from the Services in order to harass, abuse, or harm another person.
• Make improper use of our contact services or submit false reports of abuse or misconduct.
• Use the Services in a manner inconsistent with any applicable laws or regulations.
• Engage in unauthorized framing of or linking to the Services.
• Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party's uninterrupted use and enjoyment of the Services or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Services.
• Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
• Delete the copyright or other proprietary rights notice from any Content.
• Attempt to impersonate another user or person or use the username of another user.
• Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats ("gifs"), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as "spyware" or "passive collection mechanisms" or "pcms").
• Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
• Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you.
• Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services, or any portion of the Services.
• Copy or adapt the Services' software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
• Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services.
• Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Services, or use or launch any unauthorized script or other software.
• Use a buying agent or purchasing agent to make purchases on the Services.
• Make any unauthorized use of the Services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
• Use the Services as part of any effort to compete with us or otherwise use the Services and/or the Content for any revenue-generating endeavor or commercial enterprise.
• Sell or otherwise transfer your profile.

Movyo allows you to connect your account with certain third-party services, such as Google (for sign-in) and social platforms like Instagram or TikTok (for exporting your generated videos). Connecting these accounts is optional and done only with your consent.

When you choose to connect a third-party account, we may receive limited information necessary to complete the integration, such as your name, email address, or access token. We do not access or store any unrelated data (such as friends lists, messages, or private content) from those accounts.

Any use of your information by these third-party services is governed by their own privacy policies and terms. Movyo has no control over and is not responsible for the content, policies, or practices of any third-party platform.

You may disconnect your third-party accounts at any time in your Movyo settings. When disconnected, we delete any access tokens or data received from that connection, except what is needed to maintain your basic account record (for example, your Google email if you used Google sign-in).

By linking a third-party account, you acknowledge that data may be transferred between Movyo and that service solely to perform the requested action (such as logging in or exporting a video) and that such integrations are subject to each provider’s privacy policy and terms of service.

The Services may contain (or you may be sent via the Site) links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content"). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Services or any Third-Party Content posted on, available through, or installed from the Services, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content.

Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Services and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Legal Terms no longer govern.

You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Services or relating to any applications you use or install from the Services. Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party.

You agree and acknowledge that we do not endorse the products or services offered on Third-Party Websites and you shall hold us blameless from any harm caused by your purchase of such products or services. Additionally, you shall hold us blameless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.

We reserve the right, but not the obligation, to:

• monitor the Services for violations of these Legal Terms;
• take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including without limitation, reporting such user to law enforcement authorities;
• in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof;
• in our sole discretion and without limitation, notice, or liability, to remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and
• otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

If any of the above apply, where reasonably possible, we will notify you before or after such action.

We care about data privacy and security. By using the Services, you agree to be bound by our Privacy Policy posted on the Services, which is incorporated into these Legal Terms. Please be advised the Services are hosted in Germany. If you access the Services from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in Germany, then through your continued use of the Services, you are transferring your data to Germany, and you expressly consent to have your data transferred to and processed in Germany.

We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please immediately notify us using the contact information provided below (a "Notification"). A copy of your Notification will be sent to the person who posted or stored the material addressed in the Notification. Please be advised that pursuant to applicable law you may be held liable for damages if you make material misrepresentations in a Notification. Thus, if you are not sure that material located on or linked to by the Services infringes your copyright, you should consider first contacting an attorney.

These Terms apply while you have an account with Movyo or otherwise use the Services. You may close your account at any time through your account settings or by contacting us atcontact@movyolabs.com.

We hope to never need to, but we may suspend or terminate your account if:

• You violate these Terms or applicable law;
• Your account is used in a way that could harm other users or the platform; or
• We are required to do so by law or a third-party provider (such as OpenAI or Stripe).

Before taking action, we will make reasonable efforts to notify you and give you a chance to correct the issue, unless the situation requires immediate action (for example, illegal use or serious security risks).

After termination, your access to the Services and any unused credits may end. We may retain minimal information as required by law or for legitimate business purposes (such as transaction records).

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

Modifications and Service Availability

We are continuously improving Movyo and may occasionally update, modify, or remove features to enhance the platform. Whenever possible, we’ll communicate significant changes in advance through our website or by email, but we have no obligation to do so.

While we strive to maintain reliable access to the Services, temporary interruptions may occur due to maintenance, updates, system failures, or issues with third-party providers such as cloud services or AI APIs. We’ll do our best to minimize downtime and restore functionality as quickly as possible.

Movyo Labs is not liable for any temporary unavailability, delays, or data loss resulting from such interruptions. Your understanding and patience help us improve the platform for everyone.

These Legal Terms are governed by and interpreted following the laws of Romania, and the use of the United Nations Convention of Contracts for the International Sales of Goods is expressly excluded. If your habitual residence is in the EU, and you are a consumer, you additionally possess the protection provided to you by obligatory provisions of the law in your country to residence. Nair Development Hub SRL and yourself both agree to submit to the non-exclusive jurisdiction of the courts of Bucharest, which means that you may make a claim to defend your consumer protection rights in regards to these Legal Terms in Romania, or in the EU country in which you reside.

We value open communication and will do our best to resolve any issues quickly and fairly. If you have a concern or dispute, please contact us first atcontact@movyolabs.com and we will try to find a solution together.

If we cannot resolve the matter informally, you may use theEuropean Online Dispute Resolution platform, which offers an independent way to address complaints about online transactions.

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

Movyo and its Services are provided on an “as is” and “as available” basis. While we aim to offer a reliable and high-quality experience, we cannot guarantee that the Services will always be uninterrupted, error-free, or perfectly suited to every purpose.

To the fullest extent permitted by law, we make no express or implied warranties regarding the Services, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

You understand that you use Movyo at your own discretion and risk. Movyo is not responsible for any loss, damage, or inconvenience that may result from:

• temporary interruptions or errors in the Services;
• unauthorized access to your account caused by factors beyond our control;
• bugs, malware, or other harmful code introduced by third parties; or
• content inaccuracies or other issues beyond our reasonable control.

Movyo does not control and is not responsible for third-party products, websites, or services that may be linked or integrated into the platform. Your dealings with those providers are solely between you and them, under their respective terms and privacy policies.

Nothing in this section limits any statutory rights you may have as a consumer under applicable law.

To the fullest extent permitted by law, Movyo Labs SRL and its team will not be responsible for any indirect, incidental, or consequential damages arising from your use of the Services. This includes issues such as loss of data, loss of revenue, or service interruptions.

Our total liability for any claim related to your use of Movyo will not exceed the total amount you paid to Movyo during the six (6) months prior to the event that gave rise to the claim. If you use the Services without paying (for example, during a free trial), our liability is limited to one hundred (100) Euros.

Nothing in these Terms limits your rights as a consumer under applicable law.

You agree to use Movyo responsibly and in compliance with these Terms. If your actions cause legal claims, losses, or damages to Movyo or others, you agree to cooperate with us in resolving those issues and to cover reasonable costs that result directly from your breach of these Terms or misuse of the Services.

If such a situation arises, we will make reasonable efforts to inform you before taking any legal or financial action.

We maintain data related to your account and usage as described in ourPrivacy Policy. While we perform regular backups and follow security best practices, we cannot guarantee that all data will always be preserved or recoverable.

We recommend that you keep backups of any important content or files you upload or generate. Movyo is not liable for loss or corruption of data caused by events outside our reasonable control.

By using Movyo, you agree to communicate with us electronically. This includes receiving updates, notices, and information about your account or transactions by email or within the platform.

You also agree that digital records, agreements, and electronic signatures have the same legal effect as written documents and signatures.

These Terms, along with any additional policies posted on our website (such as our Privacy Policy), make up the entire agreement between you and Movyo Labs regarding your use of the Services.

If any part of these Terms is found to be invalid or unenforceable, the rest will remain in effect. Our decision not to enforce a particular right or provision does not mean we waive that right.

We may assign or transfer our rights and obligations under these Terms as part of a business transfer or restructuring. You may not assign your rights without our written consent.

These Terms are written in English and may be translated for convenience. In case of any differences, the English version will prevail.
